Membership Agreement for Studio 424 LLC dba 424 Work 1. Introduction This Membership Agreement ("Agreement") outlines the terms and conditions of your membership in our social club and use of our coworking and content studio space. By becoming a member, you agree to abide by this Agreement, our Privacy Policy, and any other rules and policies we establish (collectively, "Agreements"). If you do not agree with these terms, please contact us to discuss your concerns. 2. Membership and Access Eligibility and Application Membership is open to individuals aged 21 and over. To become a member, you must attend an in-person appointment, provide a government-issued ID for age verification, and read and sign this Membership Agreement. Access Members can access the premises from 7:00 AM to 10:00 PM, Sunday through Saturday. Access outside these hours is restricted to the Licensee or a site manager. The premises are to be vacated by 10:00 PM daily. Guest Policy Each member is allowed to bring up to two guests per visit, except during special events. Guests must be at least 21 years old and must be escorted by the member at all times. Members are responsible for their guests' conduct. 3. Membership Plans and Fees Plans Membership plans are billed on a recurring basis (daily, weekly, monthly, or annually) as selected upon joining. Payment A valid payment method is required for membership. By providing your payment information, you authorize us to charge your payment method for all membership fees and any additional charges. If automatic billing fails, you must manually make the payment. Fee Changes We reserve the right to change membership fees with prior notice. Continued use of the services after fee changes indicates your acceptance of the new fees. Refunds Except as required by law, membership fees are non-refundable. 4. Use of Facilities General Use Members have access to coworking amenities and the content studio. You are responsible for any content you post, link, store, share, or otherwise make available in our facilities. Content Restrictions Content must not violate privacy rights, copyrights, or other legal rights. Posting objectionable content can lead to termination of membership. Security Video surveillance cameras are installed for security purposes. All activities within the premises are subject to monitoring. Prohibited Uses Members must use the facilities lawfully and respect other users. Prohibited actions include, but are not limited to: Violating any laws or regulations. Transmitting spam or unauthorized solicitations. Impersonating others. Engaging in harmful, threatening, or fraudulent activities. Interfering with the proper functioning of our services. 5. Alcohol Policy BYOB Policy The premises operate as a BYOB establishment. Members may bring a limited quantity of alcohol: one bottle of wine or spirits, or a six-pack of beer per group per visit. Opened or empty containers must be taken away when leaving. 6. Events and Rentals Event Rentals Members can rent space for events such as corporate gatherings, family events, workshops, and meetings. Attendance at events is limited to 65 people, including staff, members, guests, and vendors. All activities must comply with the Limited Business License and noise ordinances. Prohibited Activities The use of event promoters and forms of entertainment requiring a PPA license are not permitted. 7. Unruly Behavior and Code of Conduct Behavior Monitoring We enforce a code of conduct to maintain order. Unruly behavior will be reported to the authorities, and violations can lead to membership termination. Community Relations We attend community meetings and maintain a public complaint number for any concerns. Members are encouraged to leave the premises quietly and respectfully. 8. Intellectual Property Service Protection Our services are protected by copyright, trademark, and other laws. Unauthorized use of our trademarks and trade dress is prohibited. 9. Privacy and Data Collection Privacy Policy Our Privacy Policy explains how we collect, use, and protect your information. By using our services, you agree to our data practices as outlined in the Privacy Policy. 10. Termination and Amendments Termination We may terminate your membership for any reason, including violation of this Agreement. You may also terminate your membership at any time by notifying us. Amendments We reserve the right to amend this Agreement at any time. Changes will be posted on our website, and continued use of our services indicates acceptance of the amended terms. 11. Acknowledgment By becoming a member of Studio 424 LLC dba 424 Work, you acknowledge that you have read this Membership Agreement and agree to be bound by its terms. 12. This Membership Agreement is legally binding and enforceable. Violations may result in fines, suspension, or revocation of membership and business licenses.
